Article 1 (Purpose and Scope)
These Terms of Use (the "Terms") set forth the conditions for using the iOS application "Sparkee" (the "App") provided by Knightage ("we," "us," or "our") and all related services we provide (collectively, the "Service"). Any user who downloads, installs, or uses the Service (a "User" or "you") is deemed to have agreed to all provisions of these Terms. If you do not agree to these Terms, you may not use the Service.
You may use the Service only after reviewing and agreeing to these Terms and the Privacy Policy on the consent screen displayed when you first launch the App. The Privacy Policy forms part of these Terms.
Article 2 (Definitions)
The following terms used in these Terms have the meanings set forth below.
- "App" means the iOS application "Sparkee" developed and provided by us (including updated and modified versions).
- "Service" means all features and services we provide through the App.
- "Coins" means virtual items exclusive to the App that can be used for hints, additional Moves, continuing a game, and the like. Coins include those purchased through In-App Purchase and those granted free of charge through gameplay, login bonuses, watching ads, and the like.
- "Game Data" means information stored on your device in connection with your use of the App, such as your Coin balance, stage progress, stars (★) earned, scores, in-progress game states, and settings.
- "Apple" means Apple Inc.
- "Game Center" means the gaming service provided by Apple (including leaderboard and achievement features).
- "App Store" means the application distribution platform operated by Apple.
Article 3 (Provision of the Service)
The content of the Service is as we display it in the App or on this website. The Service is free to use. As set forth in Article 10, the Service displays ads, and as set forth in Article 8, we sell Coins for a fee. We may add, change, or remove all or part of the features of the Service without prior notice.
Article 4 (Eligibility)
If you are a minor or otherwise have limited legal capacity, you must use the Service with the consent of your parent or other legal guardian and under their understanding and supervision. In particular, you must always obtain the consent of your legal guardian before purchasing Coins through In-App Purchase. If a minor uses the Service, we will deem that the minor is using it with the consent of their legal guardian.
Article 5 (Operating Environment)
The Service works only on iPhone and iPad devices provided by Apple (running an iOS/iPadOS version supported by the App). You must prepare, at your own expense and responsibility, the devices, network connection, and other environment necessary to use the Service, and you are responsible for any internet connection fees, communication charges, device costs, and the like. Some features, such as watching ads, purchasing Coins, using Game Center, and receiving notices, require an internet connection. We do not guarantee operation on any particular device or environment, and all or part of the Service may become unavailable due to OS updates or the like. The supported environment may change without notice for improvements or other reasons.
We may require you to update the App to the latest version to provide the Service safely and appropriately, fix bugs, ensure security, and the like. Versions of the App below a certain version we designate may be unable to use all or part of the Service; in that case, you will need to update the App to the latest version to continue using the Service. If you do not update, all or part of the App's features may become unavailable, and we will not be liable for any resulting damages except as provided in Article 17.
Article 6 (License)
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to use the App on iOS devices that you own or control, for personal and non-commercial purposes.
The App is licensed, not sold, to you. This license does not transfer to you any rights in the App's source code, databases, features, design, or other components, and all rights not expressly granted in these Terms are reserved by us or the third parties who hold them.
Article 7 (Storage of Game Data)
The Service has no account registration, and Game Data is stored only on the device you use. Game Data is not sent to or stored on any server we manage (for scores and other data sent to Game Center, see Article 9).
Game Data (including purchased Coins) cannot be transferred to another device, such as when you change devices. Game Data may also be lost due to loss, failure, or reset of your device. You acknowledge these points in advance. We have no obligation or responsibility to back up, restore, or transfer Game Data, and we will not compensate for, re-grant, or refund lost Game Data (including Coins).
Article 8 (Coins)
- You may purchase Coins through In-App Purchase at the prices we set. You can check the price and quantity of Coins on the App Store or in the App at the time of purchase.
- Coins are purchased through Apple's In-App Purchase system, and payment, cancellation, and refunds are subject to the Apple Media Services Terms and Conditions and other conditions set by Apple. We are not in a position to process refunds directly and do not independently guarantee refunds.
- Coins are consumable items that are used up when spent. Purchased Coins are stored only on the device on which they were purchased and cannot be used or restored on another device, even with the same Apple ID.
- Purchased Coins and Coins granted free of charge are managed together and used without distinction.
- Coins can be used only within the App and cannot be exchanged for cash or other property, cashed out, refunded, or transferred or lent to other users.
- We may change the price of Coins, the quantities available for purchase, how Coins can be used and how many are required, and the number of and conditions for Coins granted free of charge (including the daily limit on Coins granted for watching ads).
- If we end the Service, any unused Coins will become invalid at that time.
- Except as provided in this Article, we do not refund or otherwise compensate for purchased Coins, unless required by the laws of the region where you reside.
Article 9 (Game Center)
The App uses Game Center for leaderboards and achievements. If you are signed in to Game Center, your scores and achievement progress are sent to Game Center, and your Game Center nickname and scores are shown to other users on the leaderboards. Your use of Game Center is subject to Apple's terms and privacy policy, and you can change your nickname and other settings in the Settings app on your iPhone or iPad. Even if you are not signed in to Game Center, you can use all features other than leaderboards and achievements.
We do not guarantee the availability of Game Center or the reflection of leaderboard rankings and achievements, and we are not liable if leaderboards or achievements are unavailable due to changes in Apple's specifications, outages, or the like. If we reasonably determine that a score or achievement was obtained by improper means, we may, to the extent we are able, take measures such as removing it from the leaderboards.
Article 10 (Advertising)
The Service displays ads through "Google AdMob," an ad delivery service provided by Google LLC ("Google"). Ads in the App are video ads that you choose to watch (rewarded ads), and if you watch an ad to the end, you receive a reward such as a hint, Moves, Coins, or continuing a game (a "Reward"). The content of Rewards and the limits on the number of times (including per day) may change. We may also change the type, placement, and amount of ads without notice.
Depending on network conditions, ad availability, and the like, you may be unable to watch ads or may not receive Rewards, and we are not responsible for this.
In delivering ads, Google and its advertising network partners may collect and use information such as advertising identifiers. For details on this handling, please see the Privacy Policy and Google's policies.
We do not review in advance or guarantee the content of ads displayed, and we are not responsible for any third-party services or products offered through ads or for any transactions between you and advertisers.
Article 11 (Prohibited Conduct)
When using the Service, you must not engage in any of the following conduct.
- Conduct that violates laws or public order and morals
- Conduct related to or that promotes criminal acts
- Conduct that infringes the intellectual property rights, portrait rights, privacy rights, reputation, or other rights or interests of us or any third party
- Reverse engineering, decompiling, disassembling, or otherwise analyzing the source code of the App (except as expressly permitted by law)
- Copying, modifying, adapting, redistributing, reselling, lending, publicly transmitting, or making secondary use of the App (except with our prior written consent)
- Circumventing or disabling the App's security mechanisms
- Tampering with Game Data, using a modified version of the App or unauthorized tools, or other cheating
- Sending scores to Game Center by improper means, or improperly manipulating leaderboards or achievements
- Intentionally exploiting bugs in the App to obtain Coins, Rewards, or other benefits
- Improperly using the In-App Purchase system
- Sending or introducing viruses, malware, or other harmful code in connection with the App or the Service
- Conduct that interferes with or may interfere with the operation of the Service (including unauthorized access and placing excessive load)
- Fraudulent ad clicks, improper manipulation of the ad delivery system, or other conduct that improperly obtains or damages ad revenue
- Using the Service for commercial purposes beyond the scope licensed under these Terms
- Any other conduct we reasonably determine to be inappropriate
Article 12 (Intellectual Property Rights)
All copyrights, trademark rights, design rights, and other intellectual property rights relating to the App and the Service (including, without limitation, the App name, logos, icons, characters, UI design, stages, sound effects, and programs) belong to us or the third parties who hold them. The license to use the Service under these Terms does not assign or license these intellectual property rights to you. The name, logo, and characters of "Sparkee" are our identifiers and may not be used without our permission.
Article 13 (Feedback)
If you provide us with ideas, suggestions, improvements, or other feedback regarding the Service ("Feedback"), we may freely use that Feedback (including to improve the Service and develop new features) without payment to you and without limitation as to period, territory, or purpose. You agree not to exercise moral rights against us with respect to Feedback and not to assert any other rights.
Article 14 (Suspension, Change, and Termination of the Service)
We may suspend or interrupt all or part of the Service without prior notice to you in any of the following cases.
- When performing maintenance, inspection, or updates of the systems related to the Service
- When it becomes difficult to provide the Service due to force majeure, such as earthquakes, lightning, fire, power outages, natural disasters, epidemics, war, riots, or labor disputes
- When it becomes difficult to provide the Service due to changes in specifications or discontinuation of Apple's OS, App Store, Game Center, or the like
- When there is a change in specifications or discontinuation of a third-party service used by the Service, such as Google AdMob
- In any other case where we reasonably determine that it is difficult to provide the Service
We may change the content of the game (including stages, difficulty, Rewards, and how Coins can be used) without notice.
We may end all or part of the Service at our discretion. Where possible, we will endeavor to announce this in advance by posting in the App or on this website, but we may end the Service without prior notice if there are unavoidable reasons or we otherwise deem it necessary. The handling of unused Coins when the Service ends is as set forth in Article 8. We will not be liable for any damages you incur due to the suspension, change, or termination of the Service, except as provided in Article 17.
Article 15 (Restriction of Use and Termination of License)
If we reasonably determine that you have violated or may violate these Terms, we may restrict or terminate your license to use the Service without prior notice.
If your agreement to these Terms ends for any reason, you must stop using the App and delete it from your device. Articles 8, 12, 13, 16 through 18, 27, and 29 will survive the termination of the license.
Article 16 (Disclaimer of Warranties)
The Service is provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, we make no warranties of any kind, express or implied, that the Service will be fit for your particular purpose; have the functionality, commercial value, accuracy, completeness, usefulness, or safety you expect; be free of malfunctions, errors, or bugs; have its defects corrected; not lose Game Data; not infringe the rights of third parties; or be continuously available.
We are not responsible for any disputes that arise between you and third parties in connection with the Service.
Some countries and regions do not allow the exclusion of implied warranties by law. In that case, this Article applies only to the maximum extent permitted by such law and does not limit your statutory rights as a consumer (rights under mandatory law).
Article 17 (Limitation of Liability)
Except in cases caused by our willful misconduct or gross negligence, we are not liable for any damages you incur from the use of or inability to use the Service. We are also not liable for damages caused by third-party services (including Apple's App Store and Game Center and Google's advertising services).
Even if we are liable notwithstanding the preceding paragraph, regardless of the cause of action, such as breach of contract or tort, our liability is limited to the amount you actually paid us for the use of the Service that caused the damages (or, if no payment was made, 1,000 yen or the equivalent amount in your local currency), and we are not liable for lost profits, loss of data, damage to reputation, costs of procuring substitute services, or indirect, special, incidental, consequential, or punitive damages, even if we foresaw or could have foreseen them.
This Article does not apply to the extent restricted by the Consumer Contract Act of Japan or other mandatory laws, or to damages caused by our willful misconduct or gross negligence or to damages to life or body.
Article 18 (Indemnification)
If we incur damages (including reasonable attorneys' fees) because you violated these Terms or infringed the rights of a third party in connection with your use of the Service, you will compensate us for those damages. If a third party makes a claim against us arising from your violation of these Terms, you will resolve it at your own responsibility and expense and hold us harmless.
Article 19 (Exclusion of Antisocial Forces)
You represent and warrant that you are not, and will not in the future be, an organized crime group, a member of an organized crime group, a company related to an organized crime group, a corporate racketeer, or any other antisocial force. If we discover that you have violated this, we may restrict or suspend your use of the Service without prior notice.
Article 20 (Special Provisions Regarding Apple)
Because the App is distributed through the App Store, you acknowledge and agree to the following. This Article supplements the terms of the End User License Agreement (EULA) required by Apple.
- These Terms are concluded between you and us, and not with Apple. We, not Apple, are responsible for the App and its content.
- Your use of the App is subject to the App Store terms (including the Apple Media Services Terms and Conditions) in addition to these Terms.
- Apple has no obligation to provide maintenance or support for the App. If maintenance or support is provided for the App, it is provided by us, not Apple. However, we do not promise to provide maintenance or support except as required by applicable law.
- If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App (if any) to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
- We, not Apple, are responsible for addressing any claims by you or third parties relating to the App, including product liability claims, claims that the App fails to conform to legal or regulatory requirements, and claims under consumer protection law.
- In the event of any claim that the App or your use of it infringes a third party's intellectual property rights, we, not Apple, are responsible for the investigation, defense, settlement, and discharge of that claim.
- Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
Article 21 (Export Control and Sanctions Compliance)
In using the App, you must comply with the export control and economic sanctions laws of Japan, the United States, and other applicable countries and regions. You represent and warrant that (i) you are not located in a country or region subject to a U.S. Government embargo, and (ii) you are not listed on any U.S. Government list of sanctioned parties (including the Treasury Department's Specially Designated Nationals List and the Commerce Department's Denied Persons List).
Article 22 (Changes to These Terms)
We may change these Terms when we deem it necessary. The revised Terms take effect when posted on this website or displayed in the App. If we make changes that significantly affect your rights and obligations, we will endeavor to announce them in the App or on this website a reasonable period in advance. The date of the latest revision is stated at the top of these Terms.
If you continue to use the Service after these Terms are changed, you will be deemed to have agreed to the revised Terms. If we substantially change these Terms and your consent is required by law, we will obtain your consent separately in the manner we specify. If you do not agree to the changes, please stop using the Service.
If we revise these Terms in a material respect, we may display the revised Terms in the App and ask you to agree again. In that case, if you do not agree to the revised Terms, you will be unable to use all or part of the Service. Notices regarding revisions and re-consent will be given by display in the App or by other means we specify.
Article 23 (Notices and Communications)
Notices and communications between you and us will be made by the methods we specify (such as the contact form on this website or postings on this website). We may reply to inquiries by email, but we do not promise to reply to every inquiry.
We may give notice of maintenance information, revisions to these Terms, and other important information about the Service by posting it in the App. Important notices to you may be given this way, so please check the notices posted in the App from time to time. Such notices are deemed to have reached you when displayed in the App.
Article 24 (Assignment of Rights and Obligations)
You may not assign or pledge your position under these Terms or your rights and obligations under these Terms to any third party without our prior written consent.
If we transfer the business relating to the Service to a third party (regardless of the form, such as a business transfer or company split), we may transfer our position under these Terms, our rights and obligations under these Terms, and related information to the transferee, and you agree to such transfer in advance.
Article 25 (Severability and No Waiver)
Even if any provision of these Terms or any part thereof is held invalid or unenforceable by law or otherwise, the remaining provisions of these Terms and the remaining part of the provision held invalid or unenforceable will remain in full force and effect. Any provision held invalid or unenforceable will be deemed replaced by a valid provision that comes closest to its intent to the maximum extent permitted by applicable law.
Our failure to require performance of any provision of these Terms will not be deemed a waiver of our rights under that provision.
Article 26 (Entire Agreement)
These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the use of the Service and supersede all prior oral or written agreements, representations, and understandings regarding the subject matter of these Terms.
Article 27 (Language)
The Japanese version of these Terms is the official version. Even if translations into English or other languages are prepared for reference, only the official Japanese version has legal effect, and if there is any discrepancy between a translation and the official version, the official version prevails.
Article 28 (Consumer Protection and Mandatory Laws of Each Country)
These Terms do not limit your rights under the mandatory consumer protection laws of the country or region where you reside.
- Users in the EU, EEA, and UK: Your mandatory rights under EU consumer protection directives and the UK Consumer Rights Act 2015 take precedence over these Terms.
- Users in Australia: The consumer guarantees under the Australian Consumer Law are not excluded by these Terms.
- Users in Canada: Your mandatory rights under the consumer protection laws of each province take precedence over these Terms.
- Users in South Korea: The mandatory provisions of the Act on the Consumer Protection in Electronic Commerce and other applicable Korean laws take precedence over these Terms.
- Users in other countries and regions: Your rights under the mandatory consumer protection laws of your country or region are not limited by these Terms.
Article 29 (Governing Law and Jurisdiction)
The formation, validity, interpretation, and performance of these Terms are governed by the laws of Japan, without regard to conflict of laws principles. However, if you are a consumer residing outside Japan and the mandatory laws of your place of residence give you protection, this Article does not deprive you of that protection.
If a dispute arises between you and us regarding the Service, we will first attempt to resolve it through good-faith consultation, and if it cannot be resolved through consultation, the Tokyo District Court will have exclusive agreed jurisdiction as the court of first instance. However, this does not apply where the mandatory consumer protection laws of each country set forth in the preceding Article grant you the right to bring an action in a court of your place of residence.
Article 30 (Resolution by Consultation)
Any matter not provided for in these Terms or any doubt regarding the interpretation of these Terms will be resolved through good-faith consultation between you and us.
